1. Operator

This website, VIVAR International Trade, is operated by VIVAR ASSET MANAGEMENT W.L.L., Kingdom of Bahrain, Commercial Registration No. 182222-1, Flat/Shop 21, Building 6, Road 355, Block 327, Manama / Al Adliyah, Kingdom of Bahrain (“VIVAR”). By using it you agree to these terms.

2. Nature of the Website

The website describes VIVAR's brokerage of physical commodities. It is not an offer to buy or sell any commodity, a catalogue, a price list, an offer of financial or investment services, or investment advice. It does not offer financial derivatives. Commodity categories shown are illustrative, not exhaustive.

3. VIVAR's Role

VIVAR acts as an intermediary between buyers and suppliers. VIVAR operates purely as a logistics and trade facilitator and never takes legal or beneficial title to any underlying physical inventory. VIVAR is not the buyer or seller of the commodities and does not assume commodity price or inventory risk. The underlying sale and purchase contract is between the buyer and the supplier. VIVAR does not undertake investment activities on behalf of others.

4. No Agreement from an Enquiry

Submitting an enquiry does not create a brokerage agreement, a commission obligation or any other commitment. No brokerage, advisory, or introduction fee is due or payable unless explicitly executed under a separate, bilaterally signed Written Brokerage Agreement. Any brokerage engagement and any commission is agreed in a separate written agreement for the specific transaction. Commissions are agreed individually for each transaction. These terms do not state who bears any commission.

5. No Guarantees

VIVAR does not guarantee that a buyer or supplier will be found, that any introduction will result in a transaction, or any price, volume, financing or outcome. Each enquiry is assessed on its merits and VIVAR may decline any enquiry.

6. Due Diligence and Compliance

Each party is responsible for its own due diligence on counterparties and for its own compliance with applicable laws, sanctions, licensing and product-specific requirements. Transactions may be declined or stopped where VIVAR considers this necessary.

7. Information You Provide

You confirm that information you submit is accurate and that you are authorised to submit it on behalf of the organisation named. Please do not submit bank details, identity documents, letters of credit or other confidential financial documents through this website. VIVAR discloses a party's identity or enquiry details to another party only where commercially appropriate and authorised by that party.

8. Intellectual Property

The website and its content belong to VIVAR or its licensors. You may view it for your own business purposes but may not copy or reuse it without permission.

9. Availability and Links

The website is provided “as is” and may change or be unavailable. VIVAR is not responsible for third-party sites.

10. Limitation and Exclusion of Liability

10.1 To the maximum extent permitted by the laws of the Kingdom of Bahrain, VIVAR's total cumulative liability arising out of or in connection with the use of this website shall be strictly capped at a maximum of BHD 500 (Bahraini Dinars Five Hundred).

10.2 This website functions strictly as an open informational platform and an inbound contact portal. The limitation of liability contained in this Clause 10 applies solely to the browsing, use, and initial inquiry submission on this website.

10.3 This cap is completely without prejudice to, and shall not modify, limit, or supersede, any independent liability caps, fee structures, or risk allocations negotiated and executed under any separate, bilaterally signed Written Brokerage Agreement between VIVAR and its commercial counterparties.

11. Governing Law and Jurisdiction

These terms are governed exclusively by the laws of the Kingdom of Bahrain, and any dispute arising from them is subject to the exclusive jurisdiction of the competent Courts of the Kingdom of Bahrain.
